Terms & Conditions

These Terms of Service (“Terms”) govern access to the Armani Business Solutions (“ABS”) website and the purchase or use of services provided by ABS. By purchasing services from ABS, entering into a service agreement with ABS, or using ABS services, you agree to the applicable provisions of these Terms and any written order, proposal, statement of work, onboarding document, or service agreement associated with your purchase.

1. ABS Services

ABS provides business technology, marketing, automation, artificial-intelligence, website, CRM, lead-generation, reputation-management, local-search, and related consulting and implementation services.

The specific services, features, pricing, setup requirements, and deliverables applicable to a customer are those presented in the applicable ABS offer, checkout, proposal, order, or written agreement.

2. Customer Responsibilities

Customers agree to provide accurate information and timely access to the accounts, systems, content, approvals, credentials, business information, and other materials reasonably required for ABS to perform purchased services.

Customers are responsible for ensuring they have appropriate rights and authorization to provide ABS with customer data, content, account access, trademarks, images, contact lists, and other materials supplied for use in delivering services.

3. Artificial Intelligence and Automation

Certain ABS services use artificial intelligence, automated communications, third-party platforms, or machine-generated content.

AI and automated systems can make errors or produce incomplete or unexpected results. Customers remain responsible for reviewing material business information and for decisions made based upon automated outputs.

ABS may configure safeguards and instructions for AI systems, but ABS does not guarantee that an AI or third-party automated system will produce a particular response in every circumstance.

4. Third-Party Platforms

ABS services may depend upon third-party platforms, software, telecommunications providers, hosting companies, payment processors, APIs, AI providers, social networks, search engines, or other services.

Availability and functionality of third-party services may change without ABS's control. ABS is not responsible for outages, policy changes, account restrictions, algorithm changes, platform discontinuation, or other actions taken independently by third-party providers, although ABS may provide reasonable assistance where included in the customer's service.

5. Fees and Setup Charges

Customers agree to pay the prices presented at checkout or otherwise stated in the applicable ABS proposal, order, or service agreement.

Setup or implementation fees are separate from recurring service charges unless the applicable offer expressly states otherwise.

Applicable taxes or third-party charges may be added where required or disclosed.

6. Recurring Services and Subscriptions

When a customer purchases a recurring service, the customer authorizes the applicable payment processor to charge the selected payment method according to the billing frequency disclosed at checkout or in the applicable agreement.

Monthly subscriptions renew according to their stated monthly billing cycle unless cancelled in accordance with the applicable service terms.

Annual subscriptions renew according to their stated annual billing cycle unless the applicable offer or agreement provides otherwise.

7. Annual Plans and Discounts

When ABS offers discounted annual pricing, the annual amount and applicable setup fee displayed at checkout govern the transaction.

Discounts associated with annual commitments do not convert the service into a month-to-month arrangement.

8. Cancellation

A customer may request cancellation of a recurring service by contacting ABS.

Cancellation stops future renewals after the applicable paid service period, subject to any different terms expressly stated in a signed agreement, proposal, or checkout offer.

Cancellation does not automatically create a refund for setup work already performed or for a service period already purchased.

9. Refunds

Setup, implementation, configuration, onboarding, consulting, design, and other work already performed are generally non-refundable once work has begun.

Subscription and service payments are generally non-refundable for service periods that have already begun, except where required by law or where ABS expressly agrees otherwise in writing.

If ABS is unable to provide a purchased service and no reasonable alternative can be provided, ABS may issue an appropriate refund or credit at its discretion and as required by applicable law.

Any specific written refund commitment presented in an applicable proposal, checkout, or service agreement will control if it conflicts with this general section.

10. Customer Content and Intellectual Property

Customers retain ownership of content, trademarks, logos, and materials they own and provide to ABS.

Customers grant ABS the limited permission necessary to use those materials to provide the purchased services

Unless otherwise agreed in writing, ABS retains ownership of its pre-existing methods, processes, know-how, templates, systems, configurations, documentation, and other intellectual property.

11. Acceptable Use

Customers may not use ABS services for unlawful, fraudulent, abusive, deceptive, infringing, malicious, or unauthorized activities.

Customers are responsible for complying with laws and platform policies applicable to their business, communications, marketing, contact lists, and industry.

Customers may not use ABS services for unlawful, fraudulent, abusive, deceptive, infringing, malicious, or unauthorized activities.

12. Communications and SMS

Where customers or website visitors separately consent to receive SMS communications from ABS, message frequency may vary and message and data rates may apply.

SMS marketing consent is not a condition of purchasing ABS services.

Applicable recipients may opt out by replying STOP. Where supported, HELP may be used for assistance.

13. No Guaranteed Business Results

ABS works to improve business operations, marketing, lead handling, customer engagement, visibility, and related processes, but does not guarantee a particular level of revenue, profit, lead volume, search ranking, review volume, customer acquisition, or other business result.

14. Disclaimer

Except as expressly provided in a written agreement and to the extent permitted by law, ABS services are provided without warranties of guaranteed uninterrupted operation, specific business results, or error-free performance.

15. Limitation of Liability

To the extent permitted by applicable law, ABS will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the website or services.

Any additional limitation applicable to a specific engagement may be stated in the applicable written service agreement.

16. Indemnification

To the extent permitted by law, customers agree to be responsible for claims arising from materials, instructions, data, unlawful conduct, or account activity supplied or controlled by the customer that violates these Terms, applicable law, or third-party rights.

17. Termination or Suspension

ABS may suspend or terminate services for nonpayment, unlawful or abusive activity, security risks, material violation of these Terms, or conduct that creates unreasonable risk to ABS or its service providers.

18. Changes

ABS may update these Terms periodically. Updated Terms will be posted on the website with a revised effective date. Material contractual obligations already established in a separately signed agreement remain governed by that agreement as applicable.

19. Governing Law

The governing law and venue applicable to a specific customer engagement may be stated in the applicable ABS service agreement. ABS may update this section after appropriate legal review.
